TERMS AND CONDITIONS OF USE AND PRIVACY
By using or visiting the website hosted at www.palaciochiado.pt (“Site”), you, as a user or visitor (“User”), agree to and accept these Terms and Conditions of Use and Privacy (“Terms of Use”), which govern the use of the Site.
The Site is owned by ADG, LDA., with headquarters at Rua do Alecrim No. 70, 1200-018 Lisbon, registered with the Lisbon Commercial Registry under the unique registration and corporate entity number 513 049 967, with a share capital of €1,200.00 (“ADG, LDA”).
Through the Site, ADG, LDA. provides the User with information about the leisure, dining, events, partners, etc., of Palácio Chiado in Lisbon, including updates, developments, new tools and/or new web properties, which are subject to these Terms of Use.
ADG, LDA. reserves the right to amend these Terms of Use at any time by simply posting the changes online on the Site. It is the User’s sole responsibility to review and comply with them upon each use. Use of the Site after changes have been posted constitutes acceptance of the updated Terms of Use. If you do not agree with the amendments or, in general, with the Terms of Use, you must immediately stop using the Site.
GENERAL OBLIGATIONS AND RESPONSIBILITIES OF THE USER
By accessing, using, or downloading materials from the Site, the User agrees, on their behalf and/or on behalf of the entity they represent, to comply with these Terms of Use and warrants having the authority to act on behalf of said third party.
Access to the Site (or attempts to do so) by automated means (including the use of scripts or web crawlers) is strictly prohibited.
Using the Site for any purposes other than those intended, including illegal purposes or actions that may harm the image of ADG, LDA. or Palácio Chiado in the market, is strictly forbidden. Misappropriation, counterfeiting, exploitation of misappropriated or counterfeit content, unlawful identification, and unfair competition are criminally punishable.
Users are also prohibited from introducing any types of viruses or programs that may damage or contaminate the Site, or from encouraging third parties to do so.
RIGHTS AND OBLIGATIONS OF ADG, LDA.
ADG, LDA. reserves the right to: (i) modify, add or remove parts of the Terms of Use at any time; (ii) modify, replace, deny access to, suspend or discontinue the Site, in whole or in part. These changes become effective upon posting on the Site or upon sending any communications.
INTELLECTUAL PROPERTY AND PERSONALITY RIGHTS
A) Ownership
All information contained on the Site and all data and information compiled by ADG, LDA. and associated with it (such as data files, written text, software, music, audio files or other sounds, photographs, videos or other images), or through its use, are considered content of ADG, LDA. (or of a third party when duly identified, who owns the respective intellectual property and personality rights). The User is not permitted to modify, lease, lend, sell, distribute or create derivative works based on the content (in whole or in part) unless expressly authorized in writing by ADG, LDA. or the third party holding such rights.
The User acknowledges and agrees that ADG, LDA. and/or the duly identified third parties (as applicable) retain all intellectual property rights (whether registered or not and wherever they may exist worldwide) relating to the Site content. ADG, LDA. and/or the duly identified third parties (as applicable) retain all rights not expressly granted to the User under these Terms of Use.
B) Trademarks and Similar
Unless expressly authorized by ADG, LDA., nothing in these Terms of Use grants the User the right to use any of ADG, LDA.’s trademarks, trade names, service marks, logos, domain names, and other brand features.
It is ADG, LDA.’s policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property conventions (including, in the U.S., the Digital Millennium Copyright Act). HYPERLINKS
Since the Site allows links to other websites or resources, the User acknowledges and agrees that ADG, LDA. cannot be held responsible for the malfunction of any third-party websites not controlled by ADG, LDA.
The User further agrees not to hold ADG, LDA. liable, directly or indirectly, for any damages or losses caused or allegedly caused by the use of services made available through such links.
DISCLAIMER AND LIMITATION OF LIABILITY
ADG, LDA. shall not be liable for any damages of any kind, in the following cases: (i) Inability or difficulty in connecting to the network through which the Site is accessible, regardless of the type of connection used by the User. (ii) Interruption, suspension, or cancellation of access to the Site, and the availability and continuity of the Site’s operation or content, when due to maintenance or causes beyond ADG, LDA.’s control. (iii) ADG, LDA. accepts no liability for services or content, or the availability and technical or non-technical conditions of access to them, offered by third-party service providers. (iv) Any damages or losses potentially caused by information, content, products, and services – including but not limited to – provided, communicated, hosted, transmitted, displayed, or offered by third parties unrelated to ADG, LDA., accessible via links on the Site. (v) Processing and subsequent use of personal data by third parties unrelated to ADG, LDA. (vi) The quality and speed of access to the Site and the technical conditions the User must meet. (vii) Delays or failures in accessing and/or operating the Site’s services or content due to force majeure, including but not limited to strikes, riots, natural disasters, wars, or legal/governmental restrictions. (viii) In no case shall ADG, LDA. be liable for indirect, incidental, punitive, or consequential damages arising from the use of the Site. (ix) The User shall be personally liable for damages caused to ADG, LDA. by any breach of these Terms of Use or other applicable regulations.
DURATION
Access to the Site and its content is, in principle, indefinite. However, ADG, LDA. is entitled to terminate or suspend access and/or content at any time.
MESSAGES TO THIS SITE
Any message and/or content transmitted by the User to this Site (via email, file submission, or otherwise) will be considered non-confidential and non-proprietary. By submitting a message, the User grants ADG, LDA. a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform and/or display such message, in whole or in part, in any form or medium, and to sublicense such rights. The User agrees that ADG, LDA. may freely use any ideas, concepts, know-how, or techniques contained in any communication, for any purpose including development, manufacturing, and marketing of products, without any obligation of compensation or acknowledgment to the User.
The User agrees not to transmit any unlawful, threatening, defamatory, obscene, scandalous, pornographic, or profane content, or content that may incite conduct in violation of the law. ADG, LDA. will cooperate with law enforcement authorities or court orders requesting disclosure of the identity of users transmitting such content.
PRIVACY STATEMENT
The domain server for this Site records and stores only the standard information typically recorded by servers, such as the IP address used to access the internet, the date and duration of access, and the referring website address. This information is used to measure visit frequency to different sections of the Site and to help ADG, LDA. improve the Site for all users.
PRIVACY AND PERSONAL DATA
ADG, LDA. will not disclose the User’s personal data to third parties without express consent, unless legally required, for legal proceedings, to enforce these Terms of Use, or to protect the rights, property, or safety of ADG, LDA., its users, or partners.

USE OF COOKIES

ADG, LDA.’s Site does not automatically collect any personal information. ENTIRE AGREEMENT
These Terms of Use contain the full agreement between the parties regarding the subject matter and supersede all prior oral, written, or implied communications.
The fact that ADG, LDA. does not enforce any provision at a given time shall not be interpreted as a waiver of future enforcement.
MODIFICATIONS TO THE TERMS AND CONDITIONS
ADG, LDA. reserves the right to alter, modify, add to, supplement, or remove any provisions of these Terms of Use at any time and without notice. These changes take effect immediately upon publication. We recommend that the User review this agreement regularly.

SEVERABILITY

GOVERNING LAW
These Terms of Use are governed by Portuguese law.
JURISDICTION
The User agrees that the District Court of Lisbon shall have exclusive jurisdiction to settle any dispute arising out of or relating to these Terms of Use or the use of the Site.
